Agreement and scope
These Terms of Service ("Terms") govern the provision of services by In-Esque ("we", "us", "our") to you ("Client"). Services and deliverables are specified in written proposals, quotes, or statements of work. Where there is a conflict, the written proposal governs.
Acceptance
A contract is formed when you accept a quote, sign a proposal, or otherwise instruct us to proceed. By accepting, you agree to be bound by these Terms.
Project delivery and revisions
Project timelines, milestones and deliverables are agreed before work starts. Revisions and support scope depend on the selected package or proposal. Delays in approvals or required materials may impact delivery dates and may incur additional charges.
Fees and payment
Payment terms are documented in your quote or invoice. Unless otherwise agreed, invoices are payable within the period specified on the invoice. We may suspend services for overdue amounts.
Intellectual property
Unless otherwise agreed in writing, we retain ownership of our pre-existing materials and tools. On payment in full, we assign to the Client the rights to deliverables specifically created for the Client. The Client grants us a license to use anonymised work for portfolio and marketing purposes.
Client materials and warranties
The Client is responsible for providing materials (content, logos, access) and warrants that it has the rights to provide them. The Client will indemnify us against claims arising from Client materials.
Confidentiality
Each party will keep confidential information of the other party secure and not disclose it except as required by law or with prior consent.
Limitation of liability and disclaimers
To the extent permitted by law, our liability is limited to the fees paid for the services giving rise to the claim. We provide services "as is" and disclaim all implied warranties to the extent permitted by law. Nothing in these Terms limits liability for personal injury or other liability that cannot be excluded by law.
Termination
Either party may terminate for material breach if the breach is not remedied within a reasonable period. On termination, outstanding fees become payable and we may retain copies of work for record keeping and compliance.
Governing law and disputes
These Terms are governed by the laws of New South Wales, Australia. The parties will attempt to resolve disputes by negotiation and, if necessary, mediation before commencing formal proceedings.
